Terms of Service

The terms that govern your use of COI Guard.

Please read these terms carefully. By creating an account or using COI Guard, you agree to them.

Description of service

COI Guard is a software tool that helps property teams track vendor certificates of insurance (COIs), monitor expiration dates, and send reminders. COI Guard is a tracking and organizational tool only — it does not provide insurance, legal, or risk-management advice.

Accounts

You must provide accurate information when creating an account and are responsible for keeping your credentials secure. You are responsible for all activity that happens under your account, including actions taken by team members you invite.

Subscriptions & billing

Paid plans are billed on a recurring monthly basis through Stripe, our payment processor. By subscribing, you authorize us to charge your payment method automatically at the start of each billing period. You can cancel or change your plan at any time from the billing portal; changes take effect according to the plan terms shown at checkout.

Acceptable use

You agree not to misuse COI Guard: no uploading unlawful content, attempting to breach security, reverse-engineering the service, or using it to store data you do not have the right to store.

Data ownership

You retain ownership of the data you upload to COI Guard, including vendor records, certificates, and property information. We only use your data to provide and improve the service, as described in our Privacy Policy.

Disclaimer of insurance-advice liability

COI Guard does not verify, guarantee, or provide legal opinions on the validity, sufficiency, or accuracy of any certificate of insurance. Decisions about vendor compliance and risk are your responsibility. We are not an insurance broker, agent, or legal advisor, and nothing in the service constitutes insurance or legal advice.

Governing law

These Terms are governed by the laws of the jurisdiction where COI Guard operates, without regard to conflict of law principles. This jurisdiction may be updated as the company's operating location changes.

Limitation of liability

COI Guard is provided "as is" and "as available". Except where prohibited by law, COI Guard is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, business interruption, or decisions made based on information stored in the application. Our total liability is limited to the amount paid for the service in the twelve months preceding the claim.

Service availability

We strive to keep COI Guard available and reliable, but we cannot guarantee uninterrupted access. The service may be affected by maintenance, infrastructure failures, third-party outages, or circumstances beyond our reasonable control.

Force majeure

COI Guard is not liable for any failure or delay in performance caused by events outside our reasonable control, including acts of nature, government actions, strikes, internet disruptions, or failures of third-party providers.

Termination

You may cancel your account at any time. We may suspend or terminate accounts that violate these terms or that we reasonably believe pose a security risk. Upon termination, your data is handled according to our retention policy described in the Trust & Security page.

Changes to these terms

We may update these terms from time to time. If we make material changes, we will notify you by email or through the app. Continued use of COI Guard after changes take effect constitutes acceptance of the updated terms.
